Welcome to InniGo, LLC (“InniGo”, “we”, “our”, or “us”). These Terms and Policies govern your access to and use of the Ginie digital concierge platform and related services (the “Platform”).

By accessing or using the Platform, you agree to be bound by these Terms.

1. Services

InniGo provides a cloud-based digital concierge and hotel operations platform designed to support guest communication, service requests, automation, and related hospitality functions.

InniGo does not provide banking, financial, money transmission, or payment processing services.

2. Eligibility

The Platform is intended for use by legally registered business entities, including hotels and hospitality operators.

By using the Platform, you represent that:

• You are authorized to act on behalf of your business entity.

• Your use complies with applicable laws and regulations.

3. Subscription & Fees

Access to the Platform is provided on a subscription basis.

• Fees are charged per legal business entity or per property, depending on the selected plan.

• Subscription fees are billed monthly or annually as agreed.

• Promotional offers (including fee waivers) may be subject to eligibility requirements and conditions.

All fees are non-refundable unless otherwise agreed in writing.

4. Acceptable Use

You agree not to:

• Use the Platform for unlawful, harmful, or fraudulent activities.

• Interfere with or disrupt the Platform’s security or performance.

• Attempt to reverse engineer, copy, or misuse the software.

Any “unlimited” usage features must be used in a fair and reasonable manner consistent with legitimate hotel operations.

5. Customer Data

You retain ownership of your data.

By using the Platform, you grant InniGo the right to process and store data solely for the purpose of providing services.

We implement reasonable administrative, technical, and organizational measures to protect data against unauthorized access.

6. Privacy

Our data handling practices are described in our Privacy Policy. By using the Platform, you consent to data processing as outlined therein.

7. Intellectual Property

All software, content, branding, and technology associated with the Platform are the intellectual property of InniGo, LLC.

You may not copy, distribute, or create derivative works without prior written consent.

8. Service Availability

We strive to maintain high availability of the Platform but do not guarantee uninterrupted or error-free service.

We may perform maintenance or updates that temporarily affect availability.

9. Limitation of Liability

To the maximum extent permitted by law:

• InniGo shall not be liable for indirect, incidental, or consequential damages.

• Total liability shall not exceed the subscription fees paid during the preceding 12 months.

10. Termination

We may suspend or terminate access if:

• You violate these Terms.

• Your subscription expires or remains unpaid.

You may terminate your subscription in accordance with your service agreement.

11. Changes to Terms

We may update these Terms from time to time. Continued use of the Platform constitutes acceptance of the updated Terms.

12. Governing Law

These Terms are governed by the laws applicable to InniGo, LLC’s place of incorporation, without regard to conflict of law principles.
